The TSX Venture Exchange has accepted for filing documentation with respect to a
non-brokered private placement announced July 6, 2006.
Number of shares: 2.7 million shares
Purchase price: 15 cents per share
Warrants: 2.7 million share purchase warrants to purchase 2.7 million shares
Warrant exercise price: 22 cents per share for a two-year period
Number of placees: six
Pro group: Donny Cordick 100,000
Finders' fees: $1,500 payable to Eastland Management Ltd. (president Jim
Rankin); $7,050 payable to Li Wei
