filing documentation with respect to a non-brokered private placement announced
March 21, 2007.
Number of shares: 7.25 million shares
Purchase price: 18 cents per share
Warrants: 7.25 million share-purchase warrants to purchase 7.25 million shares
Warrant exercise price: 25 cents in the first year and 30 cents in the second
year
Number of hidden placees: seven
Insider: Yvonne Yeung 30,000
Finders' fees: $84,996.59 cash payable to Peninsula Merchant Syndications Corp.
(Sam Magid); $9,766.01 cash payable to Li Wei
